- Principle of rounding, handling of fractional shares and unsubscribed shares (if any):
+ Principle of rounding, handling of fractional shares: the number of shares offered to existing shareholders will be rounded to the whole number, the fractional shares (if any) will be removed.
+ Principle of handling unsubscribed shares: for remaining shares that have not been fully distributed due to shareholders failing to subscribe or failing to make payment, the Board of Directors shall be entitled to continue offering such shares to other investors on terms and conditions that are no more favorable than those offered to existing shareholders, in order to ensure the successful completion of the offering, at a minimum offering price of VND 10,000 per share. Distribution of undistributed shares to other investors has to be in line with the conditions prescribed by the Enterprise Law, the Securities Law, Decree No. 155/2020/ND-CP and relevant laws and regulations, including but not limited to the following conditions:
+ Complying with provisions of Article 195 of the Enterprise Law: “A subsidiary may not invest to purchase shares of, contribute capital to its parent company. Subsidiaries of the same parent company may not concurrently contribute capital to, purchase shares in each other for the purpose of cross-ownership.”
+ Ensuring compliance with principles of distributing shares that shareholders do not register to purchase or do not pay for, as prescribed in Article 42 of Decree No. 155/2020/ND-CP.
+ Shares that shareholders do not subscribe or do not make payment for and offered to other investors shall be subject to a transfer restriction for a period of 1 year from the end of the offering.

The Board of Directors shall decide on selection of the list of investors and the number of remaining undistributed shares to be allocated to each investor based on the following specific criteria:

• Other organizations and individuals with financial capacity (not limited to shareholders of the Group);

• Officers and employees of the Group;

• The foreign ownership ratio of investor in the Company is in compliance with applicable laws and regulations.

Example: As of the record date, shareholder Nguyen Van A holds 1,000 shares. The number of shares shareholder Nguyen Van A is entitled to purchase is (1,000 x 1):3 = 333.33 shares. According to the principle of rounding down, shareholder Nguyen Van A is entitled to purchase 333 shares, the 0.33 fractional shares will be removed.
- Regulations on rights transfer: 
+ Time period for right transfer: from 08/10/2026 to 26/10/2026
+ Right is transferred once and transferee may not transfer the rights to any third party. The transferor and the transferee shall agree on the transfer price and make transfer payment between themselves.
- Regulations on subscription:
+ Period for share subscription and payment: From 08/10/2026 to 29/10/2026
+ Shares are freely transferable.
- Place for implementation:
+ The holders whose shares have been deposited have to subscribe and make payment at the depository members (DMs) where they opened depository accounts.
+ The holders whose shares have not been deposited shall subscribe and make payment at the Office of No Va Land Investment Group Corporation, 65 Nguyen Du, Sai Gon ward, Hochiminh city and make payment for share subscribtion in accordance with guidance of No Va Land Investment Group Corporation.
